Regulatory Notice
This notice explains what Factarize Pte. Ltd. ("Factarize") does and does not do, and the basis on which the information on this Site is provided. It applies to the whole Site, including the pages describing our services and investment activity.
1. What Factarize does
Factarize is an operator-led technology company. It makes selective investments of its own capital in technology companies, and contributes commercial judgment and operating experience alongside that capital. Its work consists of assessing markets and technologies, commercial and product strategy, partnership development, rights and IP strategy, and technical evaluation.
Factarize does not carry on any regulated activity. In particular, and without limitation, Factarize does not:
- deal in, or facilitate the exchange of, digital tokens;
- accept, transmit, or arrange the transmission of digital tokens or of any money;
- hold, safeguard, or exercise control over any digital token, digital token instrument, private key, or client asset, at any time;
- convert digital tokens into fiat currency, or fiat currency into digital tokens, for any client or other person;
- operate any token sale, offering, exchange, or marketplace;
- manage assets, money, or investments belonging to any other person; or
- provide financial advice, or advice on any capital markets product, to any person.
Where a company Factarize works with or invests in carries on any of the above, that activity is carried on by that company under its own licences, registrations or exemptions where these are required. Factarize contributes capital, infrastructure and commercial judgment; the company operates its own business and is responsible for its own regulatory position.
Third-party funds and third-party tokens do not pass through Factarize at any point. Where a project involves the movement of money or of tokens, that movement is between the company concerned, its own payment providers or custodians, and its end users. Factarize is not a party to it and does not at any time hold or control the assets involved.
2. Not licensed or regulated by MAS
Factarize is not licensed, registered, approved, regulated or supervised by the Monetary Authority of Singapore ("MAS"), and does not hold any capital markets services licence, financial adviser's licence, payment services licence, or digital token service provider licence. MAS has not reviewed, endorsed or approved this Site or any of its contents.
Nothing on this Site should be read as suggesting that Factarize is regulated by MAS or by any other financial services regulator, or that any activity described on this Site is conducted under a licence held by Factarize.
3. No financial advice
The information on this Site is provided for general information only. It does not constitute, and must not be relied upon as, financial advice, investment advice, legal advice, tax advice, or advice on any digital token, capital markets product, or investment. It takes no account of the objectives, financial situation or particular needs of any person.
Our published writings, including any articles or field notes on this Site, are commentary on the market and on our own practice. They are not, and must not be treated as, advice or a recommendation in relation to any digital token, offering, project or transaction, and no research analysis or research report is issued through this Site.
4. No offer or solicitation
Nothing on this Site constitutes an offer, invitation, inducement or solicitation to buy, sell, subscribe for, or otherwise deal in any digital token, security, capital markets product, fund interest, or other investment, in any jurisdiction. Nothing on this Site constitutes an offer of any interest in a collective investment scheme, and Factarize does not operate or promote any collective investment scheme.
This Site is not directed at any person in any jurisdiction where its publication or availability would be contrary to local law or regulation, and any such person should not act on it.
5. Our investment activity
Factarize invests its own capital in early-stage companies. It does not manage, and does not solicit, money or assets belonging to any other person, and it does not act as a fund manager, fund, syndicate, or investment intermediary for any third party.
The material on this website describing our thesis, focus areas and selected work is a description of our own activity. It is not an offer of any investment opportunity, not an invitation to invest in or alongside Factarize, and not a solicitation of funds from any person. Factarize does not operate any fund, syndicate or investment vehicle open to outside capital, and has no investor-relations function because there are no outside investors to relate to. Submitting information to us creates no obligation on either side.
6. No reliance and no liability
Statements on this Site about markets, regulation or technology reflect our views at the time of writing and may become out of date. Articles carry the date on which they are presented and are not updated to reflect later developments. Factarize gives no warranty that the information on this Site is accurate, complete or current, and accepts no liability for any loss arising from reliance on it, to the fullest extent permitted by law.
You should obtain your own legal, regulatory, financial and tax advice, from advisers licensed in the relevant jurisdiction, before taking any step in relation to the matters described on this Site.
